a) General. Subject to Your ongoing compliance with these Terms, Commpiano gives You a nonexclusive, nontransferable, nonsublicensable, revocable and limited right to access and use the Service for internal business purposes. b) Use Requirements. Your use of the Service is subject to the following, and You warrant to Commpiano the same: i. You will comply with all applicable laws, rules and regulations related to Your access and use of the Service, including but not limited to privacy and security laws (as detailed further in Section 4). c) Third Party Software. The Service may include third party applications that Commpiano or the applicable third party offers You under these Terms as part of the Service. Your use of such third party applications is subject to full compliance with the applicable terms of such third party applications.
These Terms are effective on Your acceptance and may be terminated by Commpiano in its sole discretion for any or no reason per Section 9, �Changes to the Service.� Commpiano may extend these Terms in its discretion.
If You give feedback about the Service to Commpiano, You give to Commpiano, without charge, the right to use, share and commercialize Your feedback in any way and for any purpose. You will not give feedback that is subject to a license that requires Commpiano to license its software or documentation to third parties because Commpiano includes Your feedback in them. These rights survive these Terms.
You retain all of your ownership rights in your Content. In short, what belongs to you stays yours. However, we do require you to grant certain rights to Commpiano and other users of the Service, as described below. a) Licence to Commpiano. By providing Content to the Service, you grant to Commpiano a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use that Content (including to reproduce, distribute, modify, display and perform it) for the purpose of operating, promoting, and improving the Service. b) Licence to Other Users. You also grant each other user of the Service a worldwide, non-exclusive, royalty-free licence to access your Content through the Service, and to use that Content (including to reproduce, distribute, modify, display, and perform it) only as enabled by a feature of the Service. c) Duration of Licence. The licences granted by you continue until the Content is removed as described below. Once removed, the licences will terminate, except where the operation of the Service, use of Content permitted before your removal, or the law requires otherwise. For example, removal of Content by you does not require Commpiano to: (a) recall Content that is being used by other users within any limited offline viewing functionality of the Service; or (b) delete copies we reasonably need to keep for legal purposes. d) Right to Monetize. You grant to Commpiano the right to monetize your Content on the Service (and such monetization may include displaying ads on or within Content or charging users a fee for access).
You may remove your Content from the Service at any time. You also have the option to make a copy of your Content before removing it. If we reasonably believe that any of your Content (1) is in breach of this Agreement or (2) may cause harm to Commpiano, our users, or third parties, we reserve the right to remove or take down some or all of such Content. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for Commpiano or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, Commpiano or our Affiliates. The Service is licensed, not sold. Commpiano reserves all other rights. You will not (and have no right to): a) work around any technical limitations in the Service that only allow You to use it in certain ways; b) reverse engineer, decompile or disassemble the Service; c) remove, minimize, block, or modify any notices of Commpiano or its suppliers in the Service; d) use the Service in any way that is against the law or to create or propagate malware; or e) share, publish, distribute, or lend the Service, provide the Service as a stand-alone hosted solution for others to use, or transfer the Offerings or this agreement to any third party.
Commpiano is not obligated under these Terms or otherwise to provide any support services for the Service. Any support provided is �as is�, �with all faults�, and without warranty of any kind.
Commpiano may change (including by removing features, adding or removing source types, or charging additional fees for features previously provided free or at different rates), update, enhance or modify the Service at any time and may require You to obtain and use the most recent versions. Modifications may affect your ability to use the Service and may require You to change (at Your sole cost) the way You previously used it. If any modification is unacceptable to You, Your only recourse is to stop using the Service. Your continued use of the Service following any update or change to the Service will constitute Your binding acceptance to the update or change. Commpiano will not be liable for any costs that You incur, or for lost profits or damages of any kind related to any such modification. Commpiano may cancel or suspend Your use of the Service or our provision of the Service partially or in its entirety at any time. Microsoft�s cancellation or suspension may be without cause, without notice, or both. Upon cancellation, Your right to use the Service will cease immediately.
Commpiano may charge fees for use of or access to some or all of the Service. If Commpiano decides to charge, or charge additional or lesser fees for the Service, such fees and additional terms and conditions will be disclosed to You prior to the effective date when such fees or requirements would be imposed. If You do not agree to such modifications, then You must stop using the Service. If You do not stop using the Service, Your use of the Service will continue under the modified contract.
If we reasonably believe that any of your Content (1) is in breach of this Agreement or (2) may cause harm to Commpiano, our users, or third parties, we reserve the right to remove or take down some or all of such Content. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for Commpiano or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, Commpiano or our Affiliates. If your use of the Service ends, the following terms of this Agreement will continue to apply to you: �Other Legal Terms�, �About This Agreement�, and the licenses granted by you will continue in limited cases as described under �Duration of License�.
If it turns out that a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms.
Commpiano may transfer all or part of this Agreement to an Affiliate or, if Commpiano is sold, to a third party.
If you do not comply with this Agreement and we do not take action immediately, this doesn�t mean that we are giving up any rights that we may have (such as the right to take action in the future).
This Agreement, and your relationship with Commpiano under this Agreement, will be governed by the Nigerian Law, and legal disputes may be brought in the courts of Nigeria. If mandatory local law prohibits a dispute under this Agreement from being resolved by the courts of Nigeria, disputes can be brought in your local courts. If mandatory local law prohibits a local court from applying Nigerian law to a dispute under this Agreement, that dispute will be resolved according to the laws of your country of residence.
